Sovrn Large Behavioral Model Access Terms

These Large Behavioral Model Access Terms (“Terms”) govern your access to and use of Sovrn’s Large Behavioral Model (“LBM”), related software, APIs, documentation, and services (collectively, the “Service”).

By accessing or using the Service, you agree to these Terms. If you are accepting these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization.

1. License to Use the Service

Subject to these Terms, Sovrn grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes.

No ownership rights are transferred to you.

2. Sovrn Ownership

The Service, including the LBM, software, algorithms, models, prompts, APIs, documentation, datasets, workflows, interfaces, improvements, and all associated intellectual property rights, are and remain the exclusive property of Sovrn and its licensors.

Except for the limited license granted in these Terms, you receive no ownership or other rights in the Service.

3. Your Content

You retain ownership of the prompts, documents, data, and other content you submit to the Service (“Customer Content”).

You represent that you have the necessary rights to submit Customer Content and to permit Sovrn to use it as described in these Terms.

4. Usage Data and Model Improvement

You acknowledge that use of the Service generates information including prompts, requests, responses, feedback, ratings, telemetry, interaction history, behavioral signals, performance metrics, usage statistics, metadata, and similar information (“Usage Data”).

You grant Sovrn the perpetual, worldwide, irrevocable, royalty-free right to collect, retain, analyze, copy, modify, aggregate, derive from, and otherwise use Usage Data for any lawful business purpose, including to:

  • operate and support the Service;
  • detect fraud, abuse, and security threats;
  • improve model quality and performance;
  • evaluate and benchmark models;
  • train, fine-tune, and validate machine learning models;
  • develop new models, products, and services;
  • create aggregated or anonymized datasets;
  • develop analytics, behavioral insights, recommendations, and future AI technologies.

Usage Data may be combined with information from other users, anonymized, aggregated, transformed, or incorporated into future versions of the Service.

5. Feedback

If you provide comments, ideas, suggestions, bug reports, or other feedback regarding the Service, you grant Sovrn a perpetual, irrevocable, worldwide, royalty-free license to use, modify, publish, commercialize, and incorporate that feedback into any product or service without restriction or compensation.

6. Acceptable Use

You agree to use the Service responsibly and in compliance with applicable law.

You must not:

  • use the Service for unlawful purposes;
  • interfere with or disrupt the Service;
  • attempt to gain unauthorized access to the Service or related systems;
  • bypass usage limits, security controls, or authentication mechanisms;
  • use automated means to scrape or harvest outputs except as expressly authorized by Sovrn.

7. Protection of the LBM

The LBM represents valuable proprietary technology.

You may not, directly or indirectly:

  • reverse engineer the LBM;
  • decompile or disassemble any portion of the Service;
  • extract, infer, estimate, or discover model parameters, weights, embeddings, system prompts, or architecture;
  • distill, clone, imitate, reproduce, or recreate the LBM or any material portion of its capabilities;
  • systematically collect prompts or outputs for the purpose of reproducing the behavior of the LBM;
  • use outputs from the Service to train, fine-tune, evaluate, or improve another artificial intelligence or machine learning model;
  • create datasets intended to replicate or compete with the LBM;
  • publish benchmarking or comparative performance results without Sovrn’s prior written consent;
  • attempt to circumvent safeguards, safety systems, monitoring, or access controls; or
  • assist or encourage any third party to do any of the foregoing.

8. Confidential Information

You may receive non-public information regarding the Service, including technical information, documentation, product plans, pricing, model capabilities, evaluation results, and other proprietary information.

You agree to protect such information using reasonable care and not disclose it to any third party except as required by law.

9. Service Changes

Sovrn may modify, improve, suspend, or discontinue any portion of the Service at any time.

Nothing in these Terms obligates Sovrn to continue offering any particular feature or functionality.

10. Service Output

The Service generates content and other results using probabilistic machine learning.

Outputs may be inaccurate, incomplete, or inappropriate and should not be relied upon without independent review.

You are responsible for your use of any outputs generated by the Service.

11. Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOVRN DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, AND ACCURACY.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOVRN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.

SOVRN’S TOTAL LIABILITY ARISING FROM THESE TERMS SHALL NOT EXCEED THE FEES PAID FOR THE SERVICE DURING THE TWELVE MONTHS PRECEDING THE CLAIM.

13. Termination

Sovrn may suspend or terminate access to the Service immediately if it reasonably believes you have violated these Terms.

Sections relating to intellectual property, Usage Data, feedback, confidentiality, disclaimers, limitations of liability, and any provisions that by their nature should survive termination will continue after these Terms end.

14. Injunctive Relief

You acknowledge that unauthorized use of the Service or violation of Section 7 may cause irreparable harm to Sovrn for which monetary damages are inadequate.

Accordingly, Sovrn shall be entitled to seek injunctive or equitable relief, in addition to any other remedies available under law.

15. Export Compliance

You agree to comply with all applicable export control and sanctions laws governing access to and use of the Service.

16. General

These Terms constitute the entire agreement regarding the Service and supersede any prior discussions relating to the same subject matter.

If any provision is held unenforceable, the remaining provisions will remain in effect.

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles.

No amendment is effective unless agreed to in writing by Sovrn.
